Terms & Conditions (Master Service Agreement)

Welcome to AuditWise! By accessing or using our services, you agree to comply with and be bound by these Terms and Conditions, which shall serve as the Master Service Agreement (MSA) between ByteWise Techlabs LLP and your organization. If you disagree, you must not use the Platform.

1. Definitions

  • "Platform" refers to AuditWise.io, a product of ByteWise Techlabs LLP.

  • "Company" refers to ByteWise Techlabs LLP.

  • "User" refers to any entity or individual granted access to the Platform.

  • "Services" refer to the audit workflow management functionalities provided by the Platform.

  • "Confidential Information" refers to proprietary or sensitive data shared between parties.

  • "Intellectual Property" refers to trademarks, copyrights, software, and other protected content owned by ByteWise Techlabs LLP.

  • "Service Level Agreement (SLA)" refers to the document outlining uptime commitments, support response times, and performance standards, which is incorporated into this agreement by reference.

2. Acceptance of Terms & MSA Acknowledgment

Using the Platform, you acknowledge that these Terms constitute the Master Service Agreement (MSA) between ByteWise Techlabs LLP and your organization. You represent and warrant that you have the authority to enter into this agreement on behalf of your organization.

Explicit Agreement Mechanisms:

  • By accepting the Terms & Conditions during onboarding or login.

  • By paying an invoice for AuditWise services.

  • By accessing or using the Platform after being granted an account.

​

3. Services Provided

AuditWise is a SaaS platform designed to facilitate audit workflow management, including:

  • Creation and management of business units.

  • Document sharing and authentication.

  • Audit scheduling and task management.

  • Tracking and reporting features.

ByteWise Techlabs LLP reserves the right to enhance, modify, suspend, or discontinue any part of the services at its discretion.

4. Service Level Agreement (SLA) Incorporation

AuditWise’s Service Level Agreement (SLA) governs service performance commitments, including uptime guarantees, support response times, and service credits. By using AuditWise, you acknowledge and accept the SLA, which is available at:

Unless stated otherwise, the SLA may be updated periodically and does not require explicit re-acceptance.

​

The Company has implemented a Business Continuity & Disaster Recovery (BC/DR) Plan, available at https://www.auditwise.io/bcdrp, to ensure continued service availability and recovery in case of major disruptions. The Company commits to following the procedures outlined in this plan to restore operations in the event of an incident.

5. License Grant & Restrictions

a. License Scope

ByteWise Techlabs LLP grants users a non-exclusive, non-transferable, revocable license to access and use the Platform, strictly following these Terms.

​

b. Usage Restrictions

Users must not:

  • Modify, distribute, sublicense, or resell the Platform.

  • Use the Platform for competitive analysis or reverse engineering.

  • Engage in fraudulent, deceptive, or illegal activities.

​

The User agrees to abide by the Acceptable Use Policy (AUP), available at https://www.auditwise.io/aup, which governs the permitted and prohibited uses of AuditWise. In case of any violations, the Company reserves the right to take appropriate action, including suspension or termination of services.

6. User Accounts

a. Account Creation

Users cannot register directly. ByteWise Techlabs LLP creates accounts upon agreement acceptance and shares credentials securely. Users must provide accurate information.

​

b. Account Security

Users must maintain the confidentiality of their credentials and report unauthorized access immediately. Sharing credentials with unauthorized individuals is strictly prohibited.

​

7. Service Availability & Maintenance

a. Uptime Commitment

While we strive for high availability, the Service Level Agreement (SLA) outlines specific uptime guarantees and compensation mechanisms.

b. Maintenance & Downtime

Scheduled maintenance may be performed with prior notice. Emergency maintenance will be addressed promptly.

​

8. Fees & Payments

a. Invoicing & Payment

Invoices are sent directly to clients. Payments are due within 30 days from the invoice date. Failure to pay may result in restricted access.

b. Late Payments

Late payments may incur penalties or interest charges as determined by ByteWise Techlabs LLP.

​

c. Refund Policy

Payments are non-refundable unless explicitly agreed upon in writing.

​

9. Intellectual Property

All intellectual property, including trademarks, software, and documentation, remains the sole property of ByteWise Techlabs LLP. Users may not reproduce, distribute, or create derivative works without explicit permission.

10. Data Privacy & Security

Our Privacy Policy governs our collection and use of personal data. We comply with applicable data protection laws. Users retain data ownership, and we process it solely for service provision.

​

The parties agree to the Data Processing Agreement (DPA), available at https://www.auditwise.io/dpa, which forms an integral part of this Master Services Agreement. In the event of any conflict between the terms of this MSA and the DPA regarding data protection, the terms of the DPA shall prevail.

​

The Company maintains an Incident Response & Security Policy, available at https://www.auditwise.io/irsp, outlining measures for detecting, responding to, and mitigating security incidents. In the event of a security breach, the Company shall follow the procedures set forth in this policy, including notification timelines and mitigation efforts.

​

11. Confidentiality

Both parties agree to maintain confidentiality regarding exchanging proprietary and sensitive information. Confidential information must not be disclosed to third parties without consent.

​

12. Governing Law & Dispute Resolution

The laws of Noida, Uttar Pradesh, India, govern these Terms. Disputes shall first be attempted to be resolved via arbitration before litigation.

​

13. Changes to Terms

We may update these Terms periodically. Changes are effective upon posting. Continued use of the Platform constitutes acceptance.
